Terms of Service

The plain-English version: you bring the work, we provide the agents, you stay in control of what they're allowed to do — and the details below make that enforceable.

01Agreement

These Terms of Service ("Terms") are an agreement between you and Harby, Inc. ("Harby", "we") governing your use of the Harby platform, apps, and websites (the "Service"). By creating an account or using the Service you accept these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind it, and "you" means that organization.

02The Service

Harby lets you configure and run AI agents: software workers with instructions, schedules, isolated working environments, and connections to third-party services you authorize. We may improve, add, or remove features as the Service evolves; material reductions to core functionality on paid plans will be communicated in advance where reasonably possible.

03Accounts

You must provide accurate information, keep credentials secure, and be at least 18 years old. You are responsible for activity under your account, including actions performed by agents you configure. Notify us promptly at security@harby.app of any suspected unauthorized access.

04Agents, permissions & your responsibility

Agents act on your instructions and within the permission settings you choose (Always / Ask / Never). You are responsible for the instructions you give, the permissions you grant, and the consequences of actions you approve or configure to run automatically. Harby provides controls, transcripts, and approval flows — you remain the decision-maker of record.

AI outputs can be wrong. The Service is not a substitute for professional judgment, and you should review agent output before relying on it for consequential decisions (legal, financial, medical, or safety-related).

05Acceptable use

  • No unlawful activity, or configuring agents to perform unlawful activity on your behalf.
  • No sending spam, deceptive messages, or content that violates third-party terms through connectors.
  • No attempts to breach, probe, or overload the Service or other users' isolation boundaries.
  • No use of the Service to develop competing products by systematic extraction.
  • Respect the access scopes of connected services — connect only accounts you're authorized to connect.

06Your content

You retain ownership of the content you provide and the work product your agents produce for you ("Customer Content"). You grant Harby a limited license to host, process, and transmit Customer Content solely to operate and improve the Service. We don't train foundation models on your Customer Content, and model providers we route to are bound by terms that prohibit training on it.

07Third-party services & models

Connectors link the Service to third-party products (e.g., Gmail, Slack, Xero) under those products' own terms. Model inference is provided by third-party AI providers routed per your configuration. We are not responsible for third-party services, and their availability may affect features of the Service.

08Fees

Paid plans are billed as agreed at purchase, including any usage-based components (such as model usage) shown in the Service's analytics. Fees are exclusive of taxes. We may change pricing with at least 30 days' notice, effective at your next billing cycle. Late or failed payment may result in suspension after notice.

09Termination

You may stop using the Service and delete your account at any time; export tools are provided for Customer Content. We may suspend or terminate accounts that violate these Terms, create security risk, or are required to be terminated by law — with notice where practicable. Sections that by their nature survive (content ownership, disclaimers, liability limits) survive termination.

10Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, HARBY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT AGENT OUTPUT WILL BE ACCURATE, COMPLETE, OR ERROR-FREE.

11Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR DATA, AND HARBY'S AGGREGATE LIABILITY ARISING OUT OF THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO HARBY IN THE 12 MONTHS BEFORE THE CLAIM. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW.

12Changes to these Terms

We may update these Terms as the Service evolves. For material changes we'll give notice (email or in-product) at least 14 days before they take effect; continued use after the effective date constitutes acceptance.
